Proposal for Promotional Companies
The
terms and conditions applicable to access and use of www.azeax.com and its Mobile
Applications i.e., the “website” for the Promotional purpose
of the brands in the allotted slots in the website by the Azeax Solutions
Private Limited to the Promotional Companies. This document is a
legally binding agreement between you (Promotional Companies) as the user(s)
of the website (referred to as “you”, “your” or “User”
hereinafter) and the Azeax Solutions Private Limited entity i.e., Third-Party
Service Provider(s) that are listed in clause “Provision of Services”
below (referred to as “we”, “our” or “Azeax Solutions Private
Limited” hereinafter).
Application
and Acceptance of the Terms
a.
User’s use of the website and Azeax Solutions
Private Limited services, software and products (collectively the “Services”
hereinafter) is subject to the terms and conditions contained in this document
as well as the following other policies like Privacy Policy, The Product
Listing Policy, Packaging Policy, IP Infringement Policy, Cookie policy and
any other terms and policies of the website that Azeax Solutions Private
Limited may publish or updated from time to time as per need.
b.
This document and such other rules and policies
of the website are collectively referred to below as the “Terms”. For accessing the website or using the
Services, User agrees to accept and be bound by the Terms. User will be not allowed to use the Services
or access the website if user do not accept terms user will not eligible to
access the website and services.
c.
User will not be allowed not to access the
website and Services if you are not of legal age to form a binding contract
with Azeax Solutions Private Limited.
d.
You acknowledge and agree that Azeax Solutions
Private Limited may amend any Terms at any time by posting the relevant amended
and restated Terms on the website. By
continuing to use the Services or the website, you acknowledge to have accepted
the amended Terms and agree that the amended Terms will apply to you.

The Terms may not otherwise be modified except
in writing by an authorized officer of Azeax Solutions Private Limited.
Time
Duration
Time
Duration of this Agreement is Ninety (90) Days and Thirty (30) Days the
time period given on the first-time referred as “Margin Period” of
Agreement Signing with Promotional Companies. Azeax Solutions Private Limited
may renew or end this agreement as per the working and business generation of
Promotional Companies.
“Margin
Period”
is referred as the period of time provided by Azeax Solutions Private Limited
to Promotional Companies for the Registration and Listing of
Brands and Products and Booking of Promotional Slots in its Website www.azeax.com and its
Mobile Applications.
This
“Margin Period” will only be applicable for the First Timer
Promotional Companies to become Promotional Partner with Azeax Solutions
Private Limited.
Provision
of Services
1.
The Azeax Solutions Private Limited contracting
entity that you are contracting with for access to the website is Azeax
Solutions Private Limited. In case you avail services while accessing the
website, that may be supported and/or provided by third party service
provider(s), for all such services your contracting entity will be such
third-party service provider(s), as the case may be. Azeax Solutions Private
Limited disclaims all liability for any claims that may arise pursuant to your
use of services provided by such third-party service provider(s).
2.
You must register as a User on the website in
order to access and use Services. Further, Azeax Solutions Private Limited
reserves the right, without prior notice, to restrict access to or use of
certain Services (or any features within the Services) subject to other
conditions that Azeax Solutions Private Limited may impose in its discretion.

for the Application and Selection
Terms
for the Application and selection for the Agreement for Promotional Partner
with Azeax Solutions Private Limited in its Website and Mobile Applications for
Promotional Companies are listed as follows
Terms
for Applications for Promotional Partner
1. Based on Brands-
Promotional Companies should have working with at least Hundred (100) Brands
with its total number of Products in current time period of Agreement
Signing for Category 1 company. The number of the Brands the Promotional
Companies have to disclosed to Azeax Solutions Private Limited. Names of
Brands as well as Proof of working related Documents should
be submitted to Azeax Solutions Private Limited at the time of applying to
Promotional Partner Category in the website www.azeax.com and its Mobile Applications.
2. Based on Brands-
Promotional Companies should have working with at least Fifty (50) Brands with
its total number of Products in current time period of Agreement Signing
for Category 2 company. The number of the Brands the Promotional
Companies have to disclosed to Azeax Solutions Private Limited. Names of
Brands as well as Proof of working related Documents should be
submitted to Azeax Solutions Private Limited at the time of applying to
Promotional Partner Category in the website www.azeax.com and its Mobile Applications.
3. Based on Products- - Promotional Companies should have working with at
least Seventy (70) Brands and at least Five Hundred (500)
Products in current time period of Agreement Signing for Category 1
company. The number of the Brands the Promotional Companies disclosed to Azeax
Solutions Private Limited. Names of Brands and Products as well
as Proof of working related Document should be submitted to Azeax
Solutions Private Limited at the time of applying to Promotional Partner
Category in the website www.azeax.com
and its Mobile Applications.
4. Based on Products- Promotional Companies should have working with at
least Thirty-Five (35) Brands and at least Two Hundred Fifty (250)
Products in current time period of Agreement Signing for Category 2
company. The number of the Brands and Products the Promotional Companies
disclosed to Azeax Solutions Private Limited. Names of Brands and Products
as well as Proof of working related Documents should be submitted to
Azeax Solutions Private Limited at the time of applying to Promotional Partner
Category in the website www.azeax.com
and its Mobile Applications.
5. Promotional Companies of Category 1 and Category 2
should have at least 30% of slots booking capacity in first Thirty (30)
Days i.e., Six (6) “Five Days Slab”.

Total
Thirty (30) Promotional Partners will be selected by Azeax Solutions
Private Limited is so the selection of Promotional Partners for Azeax Solutions
Private Limited will be based the following criteria.

Important
Note-
As
mentioned above in Terms for Selection for Promotional Partner in
point Number 5 the detailed information is provided in Terms for
Team/Group of Promotional company segment.
Selection
of companies will only to be solely done by Azeax Solutions Private Limited so
the final decision for selection taken by Azeax Solutions Private Limited
should be acceptable for all the applicants.
Terms
and Conditions for Use of Advertising/Promotional Services
The
Advertising/Promotional services are applicable and accessible only for the use
of those Brands and Products that are registered and listed in the Website www.azeax.com and its Mobile Applications, Brands or Products
unregistered and unlisted in the Website www.azeax.com and its Mobile Applications will not be allowed to
access Advertising/Promotional services. If any promotional company found for
violation of this term the agreement by Azeax Solutions Private Limited or by
any of its source then the Promotional Company will be terminated with
immediate effect and the charges for Advertising and Promotion submitted to
Azeax Solutions Private Limited will be seized and will not be refunded.

Advertising Slab are divided into 17280 slots per 24 hours as per
Time Period of 5 seconds per slot Every Advertising Slot have been
categorized in a specific number and time per 24 hours. Advertising Slots are
divided into four specific time periods as per customer interactions are as
follows

Promotional
Slab will be on opening first page bellow the Popular Product Slab and above
the Daily Best Sales slab of the website for promotional purpose. Promotional
Slab will appear in the set of two slabs. Promotional Slab are divided into 17280
slots per 24 hours as per Time Period of 5 seconds per slot on
first place. Every Promotional Slot have been categorized in a specific number
and time per 24 hours. Promotional Slots are divided into four specific time
periods as per customer interactions are as follows

Advertisement
Functioning
The
Promotional advertisement in slots booked will be run and appear on the allotted
respective time and allotted dime duration as mentioned above in Classification
of Slots as per slot on the website and mobile applications for Five (5)
Days referred as “Five Days Slab” (Detailed information in the Schedule
A).
Categorization
of Promotional Companies
Advertising
Slots for the Promotional companies are divided as per different categories of
Promotional companies
Advertisement
Slots
1.
Category 1
Companies have 840 slots per 24 hours
and have a pack of 20 slots time period of 5 Seconds each slot at
a continues time i.e., slot Number 1 to 20.
2.
Category 2
Companies have 420 slots per 24 hours
and have a pack of 10 slots time period of 5 Seconds each slot at
a continues time i.e., slot Number 21 to 30.
Promotional
Slots
1.
Category 1
Companies have 840 slots per 24 hours
and have a pack of 20 slots time period of 5 Seconds each slot at
a continues time i.e., slot Number 1 to 20.
2.
Category 2
Companies have 420 slots per 24 hours
and have a pack of 10 slots time period of 5 Seconds each slot at
a continues time i.e., slot Number 21 to 30.
Categorization
of Category 1 Companies and Category 2 Companies is done such a way that
promotional companies may apply in the category as per their business strategy
and requirement.
Advertising/Promotional
Slots are divided in such a way that every company of each category have equal
number of slots in every time duration.

Private Limited to the Promotional Companies
Slots
Booking Terms for Brands
Minimum
Slots Booking (For Advertising and Promotional Slab)
1.
Minimum number of
Slots Booking for Category 1 Promotional Companies will be Twenty
(20) Slots.
2.
Minimum number of
Slots Booking for Category 2 Promotional Companies will be Ten (10)
Slots.
These
slots booked/Purchased by the Brand for Promotion will appear on advertising
slab in the pack of Ten (10) Slots for Category 1 Promotional
Companies and Five (5) Slots for Category 2 Promotional Companies
for the Brands.
Slots
Booking Time Schedule
1. Promotional Companies should have to apply for the
booking of slots Fifteen (15) Days prior. Promotional companies should
have to submit all the Documentation (Format provided by Azeax to Promotional
companies).
2. Advertising/Promotional Digital formats should be in
the format as decided by website www.azeax.com to the
Promotional companies and Advertisement Charges to the Azeax Solutions Private
Limited should be submitted Fifteen (15) Days prior.
Advertisement/Promotional
Fee Terms
1. Terms Advertisement/Promotional Fee of Advertisement/Promotional
slots are divided as per time duration as mentioned above in Classification
of Slots
a. Advertisement Fee schedule will only applicable for
time period of this agreement i.e., Ninety (90) Days. Any changes in the
Advertisement/ Promotional Fee will be applied on the renewal or on new
agreement signing as per decision of Azeax Solutions Private Limited.
b. Slots once booked will not be Cancelled or Changed
and Advertisement/ Promotional Fee will not be refunded by Azeax
Solutions Private Limited.
c. Changes in the Advertisement/ Promotional Fee will be
informed by the Azeax Solutions Private Limited on prior Thirty (30) Days of
renewal of agreement (applicable to the companies whom meet all the terms and
business generation) to Promotional Companies.
d. Advertisement/Promotional Fee mentioned in the
agreement as well as in the website www.azeax.com will be accepted by Azeax Solutions Private Limited.
e. Increase or decrease in the fee will be notify by the
Azeax only.
f.
No further charges
should be added by Promotional Companies to their clients on the behalf of
Advertisement fee apart from Digital Designing and Content work.
g. If any Promotional Company found guilty of taking
extra amount of charges from Brands on the name of fee apart from their Digital
Designing Content of advertisement will be considered as violation of Terms of
agreement. Azeax Solutions Private Limited will be authorized to take action as
per law and agreement will be terminated and Promotional Company will be
Blacklisted its submitted fee will be seized and not be refunded.

These
commission will be applicable to Five (5) Days slab for
Advertisement/Promotion of Brands and Products by the Promotional Companies.
Commission/Fee for the Promotional Companies is in the following criteria.
For
Advertising Slab
1. For Category 1 Promotional companies
a. Commission/Fee of 10% of total Advertising/Promotional
Charges (Excluding GST) to Azeax Solutions Private Limited. on Booking of
Advertising Slab up to 80% i.e., 672 Slots on the total number of
Slots (840 Slots) per “Five Days Slab” allotted to Promotional
companies on Website www.azeax.com and its Mobile Applications.
b. Commission/Fee of 15% of total Advertising/Promotional
Charges (Excluding GST) to Azeax Solutions Private Limited. on Booking of
Advertising Slab above 80% i.e., above 672 Slots and below 100% Slots
on the total number of Slots (840 Slots) per “Five Days Slab”
allotted to Promotional companies on Website www.azeax.com and its Mobile Applications.
c. Commission/Fee of 20% of total Advertising/Promotional
Charges (Excluding GST) to Azeax Solutions Private Limited. on Booking of
Advertising Slab of 100% Slots i.e., all 840 Slots per “Five Days
Slab” allotted to Promotional companies on Website www.azeax.com and its Mobile Applications.
2. For Category 2 Promotional companies
a. Commission/Fee of 10% of total Advertising/Promotional
Charges (Excluding GST) to Azeax Solutions Private Limited. On Booking
of Advertising Slab up to 85% i.e., 357 Slots on the total
number of Slots (420 Slots) per “Five Days Slab” allotted to Promotional
companies on Website www.azeax.com and its Mobile Applications.
b. Commission/Fee of 15% of total Advertising/Promotional
Charges (Excluding GST) to Azeax Solutions Private Limited. on Booking
of Advertising Slab above 85% i.e., above 357 Slots and below 100%
Slots on the total number of Slots (420 Slots) per “Five Days
Slab” allotted to Promotional companies on Website www.azeax.com and its Mobile Applications.
c. Commission/Fee of 20% of total Advertising/Promotional
Charges (Excluding GST) to Azeax Solutions Private Limited. on Booking
of Advertising Slab of 100% i.e., 420 Slots per “Five Days Slab”
allotted to Promotional companies on Website www.azeax.com and its Mobile Applications.
Slots
Booking Terms for Promotional Companies
Terms
for slots booking have following criteria which every Promotional Partner have
to follow and achieve the targets generated by the Azeax Solutions Private
Limited, Renewal and Termination of Agreement depends on the fulfillment of the
following criteria.
1. Listing and approval process of Brands and Products
should be completed Twenty (20) days prior on the website www.azeax.com. These Twenty (20) days will not be included for the
first Thirty (30) Days of agreement i.e., First time Signing of the Agreement
provides “Margin Period” to the Promotional companies for listing
and approval of Brands and Products.
2. All promotional Partner has to achieve the target of
at least 30% Slots booked in every “Five Days Slab” in first
30 Days of agreement signing.
3. All promotional Partner has to achieve the target of
at least 50% Slots booked in every “Five Days Slab” after 30
Days to 60 Days of agreement signing.
4. All promotional Partner has to achieve the target of
at least 70% Slots booked in every “Five Days Slab” after 60
Days to 90 Days i.e., up to end of agreement.
Terms
for Team/Group of Promotional Companies
Promotional
Companies may apply for promotional Partner with Azeax Solutions Private
Limited as a Team/Group or Single Company this will be as per their working and
convenience. Terms for Promotional Partner Companies to make a Team/Group with
other Digital Marketing/Promotional Companies are Listed as follows
a. Terms for Applying for Promotional Partner
1. Leading Promotional Company have Provide all information
regarding Promotional Companies in its Team/Group with documentation as per
Norms by Azeax Solutions Private Limited.
2. Leading Promotional Company should have to list Number
of Brands and Products of every Promotional Company in the Team/Group separately
with their respective Promotional companies and with their respective
documentation for applying to Azeax Solutions Private Limited.
3. Leading Promotional Company should have to submit the
signed document of their outsourcing company that will be considered as No
Objection Certificate (N.O.C.) it may be separately done or in a single
document from every Outsourcing Company of its Team/Group at the Time of
Applying for Promotional Partner of Azeax Solutions Private Limited.
b. General Terms
1. Agreement of Promotional Partner by Azeax
Solutions Private Limited will be done only by one Leading Promotional
Company of its Team/Group of Promotional Companies and the terms of
Proposal and Agreement will be applied only to that one Leading Promotional
Company and will be consider as Promotional Partner of Azeax Solutions
Private Limited.
2. Promotional Companies of Promotional Partner’s
Team/Group of will be only be considered as Outsourcing Company of Promotional
Partner by Azeax Solutions Private Limited.
3. Azeax Solutions Private Limited will not be
responsible for any kind of Terms and Conditions or Agreement/Proposal
by Promotional Partners with Outsourcing Promotional Companies. And the
Agreement/Proposal between the Promotional Partner and Outsourcing Company will
be their concern.
4. Leading Promotional Companies may apply for
Promotional Partner with its Team/Group of Companies or as single
Company.
5. Promotional Companies may create its Team/Group or add
other Promotional Companies any time it maybe at the time of Applying or after
Becoming Promotional Partner with Azeax Solutions Private Limited it is up to
them as per their convenience.
6. At every time as an Applicant for Promotional
Partner or Promotional Partner Company have to provide complete
information of every Outsourcing Companies, their complete Documentation
including Firm Name, Address, Contact information, Firm’s G.S.T.N./C.I.N. with
Certificate and firm’s Bank Account Details to Azeax Solutions Private Limited
including their Terms and Conditions and Agreement/Proposal with in themselves.at
the time of applying or at the time of adding after becoming Promotional
Partner with Azeax Solutions Private Limited.
c. Fee and Commission Charges Terms
1. Azeax Solutions Private Limited will do any kind of
transaction regarding Promotional/Advertising Fee Charges Commission as
per booking of various Slots and Slabs in its website and Mobile
Applications as mentioned in Agreement/Proposal to its
Promotional Partners only.
2. Azeax Solutions Private Limited will only do Transaction
of commission as per the Performance in the business generation by its
Promotional Partner as mentioned in ‘Commission/Fee for Promotional Partner’
segment to its Promotional Partner only. Payment of Outsourcing
Companies will be the concern of Promotional Partner
3. Payment will be done Accordingly as per Terms and
Agreement between Promotional Partner and Outsourcing Company and will only be
decided among themselves and it will only be their concern. Azeax
Solutions Private Limited will not be Liable or Responsible by
any kind for any transaction of commission in between Promotional
Partner and Outsourcing company.
4. Promotional Partners have to disclose all the
fee details of Advertisement/Promotional Fee Charges mentioned in Agreement/Proposal
and every update regarding increase and decrease in Advertisement/Promotional
Fee Charges to Outsourcing Companies as declared by Azeax Solutions Private
Limited.
5. Any kind of Addition of charges in Promotional/Advertising
Fee by Promotional Partners to Outsourcing Companies will be
considered as violation of Terms of Agreement and if any
Promotional Partner found Guilty of violation of Terms of Agreement then
Azeax Solutions Private Limited will be authorized to Terminate
Promotional Partner’s Agreement/Proposal and the Fee amount submitted for
Promotion/Advertisement to Azeax Solutions Private Limited will be Seized
and Commission Charges to Promotional Partner will not be paid by Azeax
Solutions Private Limited and Promotional Partner will be Blacklisted with
immediate effect by Azeax Solutions Private Limited.
d. Terms for Content of Promotional Partner and
Outsourcing Companies
1. Promotional Partners will be Solely Responsible
for the Content by any means that is provided by them or by their Outsourcing
Companies.
2. Promotional Partners has the right to Select or
Reject any content of Outsourcing Companies that violates the norms
set by the self-regulating agencies and the Advertising Standard Council of
India (ASCI) and the format provided by Azeax Solutions Private Limited
in its website and Mobile Applications.
3. Promotional Partners will have to provide every information
and at every time regarding content i.e., Name of Content Provider
Outsourcing Company and Slab and Slot Number for the content as per
description in the form for booking of Promotional/Advertisement every
Slab and Slot provided by Azeax Solutions Private Limited.
Terms
on Digital Content
1. The digital “Content” for advertisement
designed/created by Promotional Companies or their Clients (Brands and
Products) should be as per Law and the Norms set by the self-regulating
agencies and the Advertising Standard Council of India (ASCI).
2. Promotional Companies and their Clients (Brands and
Products) will be solely responsible for the “Content” of Brands and
Products for Advertisement/Promotion in Website www.azeax.com and its Mobile Applications.
3. Azeax Solutions Private Limited and its Website www.azeax.com and its Mobile Applications act as a Platform
for the Brands and Products will not be responsible and liable for any
violations of Law and Norms by the “Contents” for
Advertisement/Promotion of Brands and Products or their Promotional Companies
on Platform.
Users
Generally
1.
You agree that

You will not copy, reproduce, download,
re-publish, sell, distribute or resell any Services or any information, text,
images, graphics, video clips, sound, directories, files, databases or
listings, etc. available on or through the website (the “Website Content”).
1.2.
You will not copy, reproduce, download, compile
or otherwise use any website Content for the purposes of operating a business
that competes with Azeax Solutions Private Limited, or otherwise commercially
exploiting the website Content or systematic retrieval of website Content from
the website to create or compile, directly or indirectly, a collection,
compilation, database or directory (whether through robots, spiders, automatic
devices or manual processes).
2.
You must read Azeax Solutions Private Limited’s
Privacy Policy which governs the protection and use of personal information
about Users of website. You accept the terms of the Privacy Policy and agree to
the use of the personal information about you in accordance with the Privacy
Policy.
3. Azeax
Solutions Private Limited may allow Users access to content, products or
services offered by third parties through hyperlinks (in the form of
word link, banners, channels or otherwise), API or otherwise to such third
parties' platforms. You are cautioned to read such third parties’ terms
and conditions and/or privacy policies before using the website with
respect to such content, products or services that you may avail. You
acknowledge that Azeax Solutions Private Limited has no control over such third
parties' platforms and shall not be responsible or liable to anyone for
such platforms, or any content, products or services made available on such platforms.
4. You
agree not to undertake any action which may undermine the integrity of Azeax
Solutions Private Limited’s feedback system.
5. By
posting or displaying any information, content or material (“User Content”)
on the website or providing any User Content to Azeax Solutions Private Limited
or our representative(s), you grant perpetual, worldwide, royalty-free, and
sub-licensable license to Azeax Solutions Private Limited to display, transmit,
distribute, reproduce, publish, translate, and otherwise use any or all of the
User Content in any form, media, or technology now known or not currently known
in any manner and for any purpose which may be beneficial to the operation of
the website, the provision of any Services and/or the business of the User. You
confirm and warrant to Azeax Solutions Private Limited that you have all the
rights, power and authority necessary to grant the above license.

User agree, undertake and confirm that User’s
use of website shall be strictly governed by the following binding principles:
User shall not host, display, upload, modify, publish,
transmit, update or share any information which are mentioned below

Information belongs to another person and to
which User does not have any right to host or display.

Grossly harmful, harassing, blasphemous,

operational difficulties, financial implications, usage behaviour of the User
on the website etc.

In the event a User becomes inactive or if no
transaction is noticed by Azeax Solutions Private Limited, in such a case Azeax
Solutions Private Limited reserves its right to delist, deactivate or suspend a
User’s account in its sole discretion, with or without giving any notice to the
User.
5.

right to cooperate fully with governmental authorities, private investigators
and/or injured third parties in the investigation of any suspected criminal or
civil wrongdoing. Further, Azeax
Solutions Private Limited may disclose the User's identity and contact
information, if requested by a government or law enforcement body, an injured
third party, or as a result of a subpoena or other legal action.

Each User agrees to indemnify Azeax Solutions
Private Limited, its affiliates, directors, employees, agents and
representatives and to hold them harmless, from any and all damages, losses,
claims and liabilities (including legal costs on a full indemnity basis) which

notice or demand on an area of the website that is publicly accessible without
a charge. Notice to a User shall be deemed to be received by such User if and
when, a) Azeax Solutions Private Limited is able to demonstrate that
communication, whether in physical or electronic form, has been sent to such
User, or b) immediately upon Azeax Solutions Private Limited posting such

General
Provisions
1. Subject to any terms & conditions, the Terms
